S.L.L.C :
Simplified limited liability company

Derogates from certain rules specific to the S.à r.l. Allows the entrepreneur or the creator of a new company to start his activities with a simplified structure. Its minimum share capital is reduced to 1 euro and its constitution can be done without the intervention of a notary. It is only reserved for natural persons. The number of associates can go from 1 to 100 persons. Its corporate purpose is restricted to the exercise of activities for which a trade license is required.

public limited companies

A commercial company considered for tax purposes as a capital company composed of shares in which the liability of each partner is limited to the amount of their contributions. Its minimum share capital is 30,000 euros. It must have at least 1 partner. The shareholders can be natural persons or legal entities. Depending on their size, companies incorporated as S.A. are subject to supervision by an auditor or a certified auditor.

Cooperative society

Commercial company in the sense of the law. It gathers at least 2 partners, natural persons or legal entities. It can be created by private deed or by notarial act. It can have limited or unlimited liability. No minimum or maximum amount of share capital is required. The supervision by one or more auditors, partners or not, is mandatory, except for the appointment of an auditor.

Société de gestion de patrimoine familial

Investment company intended only for individuals acting in the context of the management of their private assets. It can take the form of a Sàrl, a SA, a SCA or a SC organized in the form of a SA, and whose exclusive object is the acquisition, holding, management and realization of financial assets, excluding any commercial activity, holding of real estate or intellectual property rights. It can hold an interest in a company only on the condition that it does not interfere in its management. It benefits from a tax exemption if certain conditions are met.

Société de gestion de patrimoine familial

Société d’investissement destinée uniquement aux personnes physiques agissant dans le cadre de la gestion de leur patrimoine privé. Elle peut adopter la forme d’une Sàrl, d’une SA, d’une SCA ou d’une SC organisée sous forme d’une SA, et dont l’objet exclusif est l’acquisition, la détention, la gestion et la réalisation d’actifs financiers en excluant toute activité de commerce, détention d’immeubles ou de droits de propriété intellectuelle. Elle peut détenir une participation dans une société qu’à la condition de ne pas s’immiscer dans sa gestion. Elle bénéficie d’une exemption fiscale si certaines conditions sont remplies.

Société en nom collectif

Société commerciale qui se caractérise principalement par une responsabilité indéfinie et solidaire des associés dans tous les engagements de la société. Elle doit être composée d'au moins 2 associés, personnes physiques ou personnes morales, qui auront tous la qualité de commerçant. Aucun capital social minimum n’est exigé et tout type d’apport est possible.

F.I.S. :
Fonds d’investissement spécialisé

Entité de placement très souple fournissant un régime fiscal efficace pour les investisseurs qualifiés. Ne nécessite pas un nombre maximum ou minimum d’actionnaires. Cependant, les actionnaires sont tenus de souscrire un capital social minimum de 1.250.000 euros. Celui-ci doit être entièrement souscrit mais seulement 5% de chaque action ou part doivent être libérés.

S.I.C.A.R. :
Société d’investissement en capital à risque

Elle s’adresse à des investisseurs avertis ayant une connaissance solide du fonctionnement des fonds. C’est une société par actions dont les actionnaires sont des investisseurs souhaitant apporter leurs fonds à des entités en vue de leur lancement, de leur développement ou de leur introduction en bourse. Elle peut prendre les formes juridiques suivantes : SCS, SCSp, SCA, SC organisée sous forme de SA, Sàrl, SA. Elle doit être approuvée par la CSSF. L’investissement doit être au minimum de 125.000 euros. Le capital social minimum de 1.000.000 euros doit être atteint dans les 1 an suivant son incorporation.

L.L.C :
Limited liability company

Company where the responsibility of the associates is limited to the amount of their contributions. Its share capital is at least 12,000 euros and the articles of association must be drawn up in the presence of a notary. It can have a single partner at the time of incorporation. In these companies, the number of associates is limited to 100. They can be natural persons or legal entities. It is directed by one or more managers, partners or not, employees or free.

HOLDING :
Financial holding company

Holding company whose corporate purpose is the holding and management of participations in the capital of Luxembourg or foreign companies. It can be used for various investment purposes, in particular the holding and financing of participations, real estate purchases, the acquisition of intellectual property rights, etc. It can take different legal forms such as a société anonyme (SA), a limited liability company (LLC), a partnership limited by shares (SCA) or a société par actions simplifiée (SAS). One of the advantages of this structure is that it can be mixed : to hold securities and shares but also to carry out a commercial activity.

A non-trading company that is mainly found in the context of civil, agricultural, liberal or intellectual professions. These companies include at least 2 partners who are indefinitely responsible for all their personal assets. It concerns all natural or legal persons wishing to carry out an activity other than commercial, such as the holding and management of assets. The use of a notary is not mandatory.

Société en commandite simple

Form of commercial company. It must be composed of at least 2 partners: a general partner and a limited partner who are differentiated by their respective responsibilities. The management of the company is carried out by the general partner or partners. No minimum contribution is necessary and its constitution can be done without the intervention of a notary.

Société en commandite par actions

Société commerciale. Elle doit être composée d’au moins 2 associés : un associé commandité et un associé commanditaire qui se différencient par leurs responsabilités respectives. Le commandité est responsable indéfiniment et solidairement des engagements de la société. Pour ces entreprises, la responsabilité du commanditaire est limitée au montant de son apport. Le capital social minimum de la SCA est de 30.000 euros et est composé d’actions. La surveillance de la société doit être confiée à un collège composé d’au moins 3 commissaires aux comptes. La gérance de la société appartient à un ou plusieurs gérants, associés commandités ou non.

S.C.Sp :
Société en commandite spéciale

Société commerciale sans personnalité juridique. Sa structuration adéquate permet une pleine transparence fiscale. Elle est constituée sous forme contractuelle ne nécessitant pas l’intervention d’un notaire. Le contrat social se fait entre un ou plusieurs associés commandités, responsables des engagements de la société indéfiniment et solidairement, et un ou plusieurs associés commanditaires, responsables à la hauteur du montant de leurs apports. La gérance appartient à un ou plusieurs gérants, associés commandités ou non. Le ou les gérants ne doivent pas être commerçants.

F.I.A.R. :
Fonds d’investissement alternatif réservé

Structure plus légère par rapport aux F.I.S. luxembourgeois et aux S.I.C.A.R., et qui est la plus utilisée et appréciée par les investisseurs éligibles. Il peut être constitué et mis rapidement sur le marché car il n’est pas soumis à l'agrément et à la supervision de la CSSF comme les autres fonds d’investissement au Luxembourg.

Structure de base pour former un organisme de placement collectif à Luxembourg. Elle est surtout utilisée pour les placements privés. Elle peut choisir d’être organisée comme une SA, une Sàrl, une SCA, une SC organisée comme une SA. Le capital minimum de 1.250.000 euro. Elle doit être approuvée et est supervisée par la CSSF. Le siège social doit obligatoirement se trouver au Luxembourg.

Type de fonds d'investissement. Son but principal est d’investir dans des actifs financiers. Le capital doit être égal à la valeur de l’actif net. Elle peut choisir d’être organisée comme une SA, une Sàrl, une SCA, une SC organisée comme une SA. Le capital minimum est de 1.250.000 euros qui doit être déposé dans les 6 mois suivant l'approbation du fonds. Elle doit être approuvée et est supervisée par la CSSF. Le siège social doit obligatoirement se trouver au Luxembourg.
